I'd create a new service. I haven't tried it, but you may not be able to cluster GTM 11.x and 10.x together. if not it's not fatal, simply write a script to read v10 and update the v11 configs (I'd doit in real-time rather than 1 offs).

For replacement, I'd get the new service up and running. DO my testing, have the script running from 1 doing the sync between v10 and v11. Then when you're happy it all works, swing the delegations for your domain to the new IP addresses (Or if you're behind a NAT'ing firewall, change the NAT).
As long as you're not having to replace the existing GTM IP's with the new GTM directly (i.e. move the IP's from old to new), you should be able to achieve a cutover without any outage or degradation of service.
If you're running your GTM's inline instead of as a delegation, the same thing should also work (But I don't do that, so don't guarantee I've caught all the gotchas).
